Kelly Blue Book Says a 94' GS-R in Fair Condition with 140k on it is worth: $2,975.

Fair = that the vehicle probably has some mechanical or cosmetic defects, but is still in safe running condition. The paint, body and/or interior need work to be performed by a professional in order to be sold. The tires need to be replaced. There may be some repairable rust damage. The value of cars in this category may vary widely. A clean title history is assumed. Even after significant reconditioning this vehicle may not qualify for the Blue Book Suggested Retail value.

I lived in Austin for a few years and I know it gets got as hell in the summer...if the engine is in good shape (ie. runs smoothly, doesn't blow blue smoke) I would still be skeptical...what are you plans for the car...point A to Point B or are you gonna try to fix it up?

You could possibly pick up a used GS-R tranny for somewhere in the $500 range...not sure on that...

yeah, i got an update.. it has a crapped up hood, crapped up fenders, needs lights and a front bumper.. so basically it's great for JDM.. also needs tranny.. radio, back seats, and shift knob.. currently riding on steelies and it's yellow.. i think after all the money i chunk into it to fix it and paint it.. im better off finding another car.. even if i do all the labor... ive seen GSR's with under 100k go for 5k or so...

No. Way too low. The engine itself is worth over $1k to a lot of people, he won't get the whole thing for only $1K.
