the front opening in the WW kit is slightly smaller i think... and more rounded off than the mugen one. the lighting is also different as kai said. if you have an 88-89 and are getting the WW kit, you will need to get 90-91 bumper lights because the 88-89s don't fit - they are too small.
i'm not sure of any other differences, though i'm sure there are some more in the side skirts and rear bumper due to copyright laws and such.

i'm not sure about the downforce. mugen engineers their stuff specifically for racing, so it might (the real mugen kit, and good luck finding one). as for the WW mugen knock-off kit, it probably hurts aero more than it helps it.

Here are bigger pics of the Mugen Kit. As far as creating downforce - I would say yes it probably does help. Being a race bred company, and they way they make parts, I wouldn't say Mugen would just make a "pretty kit" for a CRX. Fit and finish on the Mugen kit is probably 10X better than the WW kit as well. main differences - accomodations for the SiR headlights, SiR bumper lights, and the molded lip in the front bumper is more aggressive. here are pics
